What you need to Register a Business in the UK

+ a FREE Checklist to get started

Thinking of starting your own business in the UK? Great choice! The UK is a business-friendly country with a straightforward registration process. However, there are a few key things you’ll need to have in place before you officially register your business. Whether you’re going solo or setting up a limited company, here’s a clear breakdown of what you’ll need.

  1. Choose Your Business Structure

Before anything else, you must decide how you’ll operate. The most common options are:

  • Sole Trader – The simplest structure. You’re self-employed and personally responsible for the business.
  • Limited Company – A legally separate entity. Offers liability protection but involves more admin.
  • Partnership – Shared responsibility between two or more people.

Your choice affects everything from taxes to legal responsibilities, so make sure you choose the one that fits your needs.

  1. Pick a Business Name

Your business name should be:

  • Unique and not too similar to existing businesses
  • Free from restricted words (like “bank” or “royal” unless authorised)
  • Professional and appropriate for your audience

For limited companies, the name must be registered with Companies House and end in “Ltd” or “Limited.”

You can search existing business names on the Companies House name checker.

  1. Register with the Relevant Authority
  • Sole Traders: Register with HMRC for self-assessment. You’ll be responsible for filing a tax return and paying National Insurance.
  • Limited Companies: Register your company with Companies House. You’ll also need to register for Corporation Tax with HMRC within 3 months of starting business activities.

To register a limited company, you’ll need:

  • A company name and registered office address
  • At least one director
  • Shareholder details (can be the same as the director)
  • SIC code (describes your business activity)
  • Memorandum and articles of association (template provided during registration)
  1. Decide on a Registered Office Address

This must be a physical address in the UK. It’s where official correspondence will be sent and will be publicly visible. If you work from home, you can use your home address, or a virtual office if privacy is a concern.

  1. Get Your Paperwork Ready

Have personal information handy—such as your National Insurance number, identification, and contact details. For limited companies, you’ll also need information on directors and shareholders.

Final Tip: nce registered, don’t forget to check whether you need to register for VAT (if turnover exceeds £90,000), open a business bank account, or obtain licenses depending on your industry.

Registering your business is a big step—but with a little preparation, it’s easier than you think.
